Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hale Manager (the "Service"), a vacation rental management platform provided by Shaka Software LLC ("Shaka Software", "we", "us", or "our"). By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service you represent that you meet these requirements and that any information you provide is true, accurate, and current.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access. We may refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms.

3. Subscription Plans

The Service is offered on a subscription basis. Plan features, limits, and pricing are described on our Pricing page and may be updated from time to time. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

4. Payments

Subscription fees are billed in advance through Stripe, our third-party payment processor. All fees are non-refundable except as required by law or as expressly stated in our Cancellation Policy. You authorize us to charge the payment method on file for all applicable fees, taxes, and renewals. Failure to pay may result in suspension or termination of the Service.

5. User Responsibilities

You are responsible for:

  • The accuracy of property, booking, guest, and vendor data you enter.
  • Complying with all applicable laws, county permits, tax obligations, short-term rental regulations, and platform terms (e.g., Airbnb, Vrbo).
  • Obtaining and maintaining any consents required to process guest, vendor, or team-member information within the Service.
  • Securing your own devices, credentials, and account access.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any law, permit, or third-party rights.
  • Attempt to disrupt, reverse engineer, decompile, scrape, or circumvent security features of the Service.
  • Upload malicious code, spam, or content you do not have rights to use.
  • Use the Service to send unsolicited marketing messages, or in any manner that would violate SMS/email compliance regulations (including TCPA, CAN-SPAM, and CTIA guidelines).
  • Resell, sublicense, or provide the Service to third parties outside your organization without our written consent.

7. SMS Terms

If you opt in by checking the SMS consent checkbox (which is unchecked by default and requires your express, affirmative selection), Shaka Software LLC / Hale Manager may send you transactional and customer-care SMS messages related to your use of the Service. Messages may include reservation and check-in reminders, maintenance updates, vendor scheduling notices, property access instructions, account notifications, and support responses.

Message frequency varies. Message and data rates may apply. Reply STOP to cancel. Reply HELP for help. Consent to receive SMS messages is not required as a condition of purchase or use of the Service. SMS consent and mobile phone numbers are never sold or shared with third parties for marketing purposes. See our Privacy Policy for details.

8. Intellectual Property

The Service, including all software, designs, logos, text, graphics, and other content (excluding customer data), is owned by Shaka Software LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the data you input into the Service ("Customer Data") and grant us a license to host, process, and display it solely to provide the Service.

9. Termination

You may cancel your subscription at any time from your dashboard, subject to our Cancellation Policy. We may suspend or terminate your account with or without notice if you violate these Terms, fail to pay fees, or use the Service in a manner that risks harm to us, other users, or third parties. Upon termination your right to use the Service ends immediately. Sections that by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HALE MANAGER PROVIDES ORGANIZATIONAL AND OPERATIONAL TOOLS, NOT LEGAL, TAX, OR COMPLIANCE ADVICE. SEE OUR Disclaimer. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAKA SOFTWARE LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Governing Law

These Terms are governed by the laws of the State of Hawaiʻi, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Honolulu, Hawaiʻi for any dispute arising out of or related to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date and, where appropriate, notified by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
